Loop Works Modern Slavery Act Statement for the Financial Year Ending 31 December 2023

1. Statement

Loop is a technology company operating a talent management and communication platform for users. For partners, we provide an enterprise CRM platform allowing businesses to engage and manage their employees and contractors.

At Loop, we are committed to the highest standards of business conduct in our relationships with each other, our users, our shareholders, and our customers, suppliers, and partners.

We recognize that servitude, slavery, forced labor (including debt bondage), and human trafficking (collectively, "Modern Slavery") are global issues and that no industry is immune. Loop is committed to preventing acts of Modern Slavery from occurring within its business and supply chain.

Our Supplier Code specifically prohibits the use of involuntary labor, including bonded or indentured labor, in our business operations and supply chain.

This statement is made in accordance with the Modern Slavery Act 2015 for the financial year ending 31 December 2023 and sets out the steps and primary measures that Loop has taken to ensure the prevention of Modern Slavery in its business operations and supply chain.

2. Company Structure

Loop includes a group of operating companies comprising Loop Works, LLC, Loop Works Holdings Ltd, mResource, LLC, Loop Operating Company Ltd, and their respective subsidiaries and affiliates (together, the "Loop Group").

The majority of our procurement activities relate to third-party IT services supporting our platform operations and professional services. Certain Loop companies also maintain key agreements with business partners relating to sales operations, technology and intellectual property licensing, and product development, promotion, and distribution.

To deliver our services, we engage a broad range of suppliers, including technology and telecommunications providers, professional services firms, and facilities management suppliers. Supplier contracting and supply chain diligence are primarily managed by the Loop operations and management team.

3. Policies

As part of our commitment to combating Modern Slavery, we have implemented and enforce a Loop Supplier Code of Conduct that defines the ethical business practices expected of our suppliers.

The Loop operations team is responsible for supplier review as part of our due diligence process. This serves as our primary mechanism for ensuring ethical conduct, safe working conditions, and respectful treatment of workers.

Our standard practice includes reviewing a supplier’s business profile and assessing relevant risk factors to determine the likelihood of non-compliance with our policies. Suppliers and the public are encouraged to report violations, and the Supplier Code prohibits retaliation against whistleblowers.

4. Due Diligence

To monitor and reduce the risk of Modern Slavery and human trafficking in our supply chains, Loop has adopted the following due diligence procedures.

• Establish and assess areas of potential risk in our business and supply chains
• Monitor potential risk areas in our business and supply chains
• Reduce the risk of slavery and human trafficking
• Provide appropriate protection for whistleblowers

Loop conducts ongoing assessments of its exposure to Modern Slavery risks, with particular focus on international suppliers, high-turnover services, and newly selected or acquired vendors. Identified risk factors guide decisions on whether enhanced due diligence is required.

5. Risk and Compliance

Due to the nature of our operations, Loop believes the risk of Modern Slavery within our direct business activities to be relatively low. However, we acknowledge that Modern Slavery is a global issue that may affect any industry.

We proactively monitor and manage supplier relationships, allowing us to respond appropriately to suspected or actual violations of our Supplier Code. While violations may result in termination of supplier relationships, our preferred approach is investigation and corrective action where feasible.

Our supplier contracts and agreements require compliance with applicable laws and regulations and reflect our ethical standards and expectations of integrity. Where possible, suppliers are governed by Loop standard Master Service Agreements or Supplier Terms and Conditions.

6. Training

Since 2018, Loop has provided training to relevant teams to support the identification and assessment of Modern Slavery risks within our business and supply chains.

This training also provides guidance on supplier engagement and the ongoing management of due diligence activities.

7. Further Actions and Sign-Off

Loop continues to integrate Modern Slavery controls into its supplier management and operational processes. In Q2 2022, Loop implemented a supplier intake tool to enhance auditability and transparency across key vendor activities.

We regularly review and update our contracts, policies, and training programs and remain vigilant in identifying and mitigating Modern Slavery risks throughout our business and supply chains.

This statement is made pursuant to section 54(1) of the UK Modern Slavery Act 2015 and constitutes Loop’s slavery and human trafficking statement for the financial year ended 31 December 2023. It has been approved by the executive leadership of Loop Works.
